Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by Spect AI, Inc. (dba Nonlinear), a Delaware corporation with its principal office at 1722 Pierce St, San Francisco, CA 94115 (“Nonlinear,” “we,” “our,” or “us”). By accessing or using the Services, you agree to these Terms.
Overview
Nonlinear provides a no-code AI workflow platform that helps Architecture, Engineering, and Construction (AEC) teams automate document-related processes. Your use of the platform, website, and related services (collectively, the “Services”) is governed by these Terms and our Privacy Policy.
Eligibility and Accounts
You must be at least 18 years old and have the authority to bind your organization to these Terms. Authentication is managed by a secure third-party provider (Clerk). Nonlinear does not store passwords. You are responsible for maintaining the confidentiality of your account and credentials, and for all activities under your account. Notify us immediately if you suspect unauthorized access.
License and Use
We grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term for your internal business purposes.
You agree not to:
- Copy, modify, or create derivative works of the Services
- Reverse engineer or attempt to extract source code or algorithms
- Rent, sublicense, resell, or provide the Services to third parties
- Use the Services to develop a competing product
- Upload malicious, unlawful, or sensitive data (such as PHI, PCI, or government-classified data)
- Circumvent security features or rate limits
The Services are not designed for high-risk use (e.g., life support, aviation, or critical infrastructure).
Customer Data and Outputs
You retain ownership of all data, files, and documents you upload (“Customer Data”).
We may process your Customer Data only to operate, maintain, and improve the Services and to generate outputs based on your workflows (“Outputs”).
You are responsible for reviewing and validating all Outputs before relying on them.
We may analyze Customer Data in aggregate or de-identified form to improve our models, algorithms, and platform performance. This aggregated information never identifies you or your organization. Nonlinear does not use your identifiable Customer Data to train or fine-tune models in a way that makes such data accessible to other customers.
Our Privacy Policy describes how we handle personal information.
For account and billing information, Nonlinear acts as a data controller. For Customer Data uploaded into the Services, we act as a processor/service provider on your behalf.
Security and Subprocessors
We maintain administrative, technical, and organizational safeguards to protect your data, including encryption in transit and at rest, access controls, and monitoring.
Our infrastructure relies on trusted vendors such as:
- AWS S3 for secure file storage
- Render for hosting
- Clerk for authentication and identity management
All subprocessors are bound by confidentiality and data protection obligations consistent with these Terms.
Third-Party Integrations
If you connect Nonlinear to third-party services (e.g., analytics, project management tools, or other integrations), your use of those services is governed by their own terms. Nonlinear is not responsible for third-party services.
Payments and Billing
Fees, billing frequency, and payment terms are defined in your signed Order Form or agreement. Unless otherwise stated, fees are non-refundable. You are responsible for applicable taxes (excluding Nonlinear’s income taxes). Late payments may incur interest at 1.5% per month or the maximum allowed by law. We may suspend your access to the Services for non-payment or material breach after notice.
Confidentiality
Both parties may disclose confidential information to each other. Each agrees to protect the other’s confidential information with reasonable care and use it only to perform obligations under these Terms. Confidential information does not include information that is public, independently developed, lawfully obtained from a third party, or required to be disclosed by law (with notice where possible).
Intellectual Property
Nonlinear and its licensors own all rights, titles, and interests in and to the Services, including the software, AI models, platform design, and branding.
You and your organization retain ownership of all workflows, automations, and configurations you create using the Services (“Workflows”), as well as all Customer Data used within them. By using the Services, you grant Nonlinear a limited, non-exclusive license to host, execute, and process your Workflows solely as necessary to operate and improve the Services.
If you choose to share a Workflow within your organization, it will be visible to other members of that organization. If you choose to publish a Workflow to the Nonlinear Community, you grant Nonlinear a worldwide, royalty-free license to host, display, duplicate, and distribute that Workflow, and to allow other users to view, use, or adapt it within the platform.
Private and organization Workflows remain accessible only within their defined scopes and are not used for any purpose other than providing the Services.
You also own your Outputs and have a perpetual, royalty-free license to use them. If you submit feedback or suggestions, you grant us a royalty-free, perpetual license to use and incorporate them into our Services without restriction or obligation.
Publicity
Nonlinear may use Customer’s name and logo in factual lists of customers on Nonlinear’s website and in marketing or investor materials. Any case study, testimonial, or press release requires Customer’s written approval. Customer may revoke logo use at any time by written notice, and Nonlinear will make commercially reasonable efforts to remove or cease further new use promptly.
Termination
Either party may terminate for material breach if the breach is not cured within 30 days after written notice. Upon termination or expiration, your right to use the Services ends, and we will delete or de-identify your Customer Data within a commercially reasonable period unless retention is required by law. Sections on Confidentiality, Intellectual Property, Limitation of Liability, and Governing Law will survive termination.
Disclaimers
The Services are provided “as is” without warranties of any kind - express, implied, or statutory - including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Services will be error-free, uninterrupted, or meet your expectations.
Limitation of Liability
To the fullest extent permitted by law:
- Nonlinear is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.
- Our total aggregate liability for any claim arising under these Terms is limited to the fees paid by you in the twelve (12) months preceding the claim.
These limits apply regardless of the theory of liability, even if we were advised of the possibility of such damages.
Governing Law
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Rules, with the hearing held in the San Francisco Bay Area. Either party may seek temporary injunctive relief in court for urgent matters. You waive the right to participate in any class action or jury trial.
Changes
We may update these Terms from time to time. Material updates will be posted on our website or communicated to the account owner. Continued use after updates constitutes acceptance of the revised Terms.
Miscellaneous
If there is a conflict between these Terms and your Order Form, the Order Form will control. You may not assign these Terms without our written consent, except in connection with a merger or acquisition that is not with a direct competitor. Neither party is liable for delays or failures due to causes beyond their reasonable control (force majeure). If any part of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms and any associated Order Forms constitute the entire agreement between you and Nonlinear.
